Colour Life Services Group Co., Limited (“Colour Life”) has issued a circular convening its annual general meeting (AGM) for 10:30 a.m. on 16 June 2026 in Shenzhen. Key resolutions to be tabled are as follows:
1. Capital Management Proposals • Buy-Back Mandate: Directors are seeking authority to repurchase up to 10% of the issued share capital, equivalent to 185.94 million shares based on 1.86 billion shares outstanding as of 11 May 2026. • Issue Mandate: A separate mandate would allow the board to allot, issue or resell treasury shares up to 20% of the issued share capital, or 371.88 million shares, with an additional extension for shares repurchased under the Buy-Back Mandate. • The board states any repurchases will be funded from legally available resources and will not be executed to a level that would materially weaken working-capital or gearing positions.
2. Board Composition • Re-election is proposed for five directors: – Yang Lan (Executive Director & CFO) – Sha Feng (Non-executive Director) – Timothy David Gildner (Non-executive Director) – Yu Shan (Independent Non-executive Director) – Li Xinhua (Independent Non-executive Director)
3. Auditor • Prism Hong Kong Limited is nominated for re-appointment as external auditor until the conclusion of the 2027 AGM.
4. Shareholding Implications • Controlling shareholders—Fantasia Holdings, Fantasy Pearl International and Splendid Fortune Enterprise—currently hold 69.97% of Colour Life (1.30 billion shares). A full 10% buy-back would lift their collective interest to 77.75%; the board does not intend to trigger mandatory offer requirements or reduce public float below the 25% threshold.
5. Meeting Logistics • Shareholders are required to lodge proxy forms with Computershare Hong Kong Investor Services by 10:30 a.m. on 14 June 2026. • The register of members will be closed 11–16 June 2026 (both days inclusive) for voting eligibility determination.
The board recommends shareholders vote in favour of all resolutions. All AGM votes will be conducted by poll in line with Hong Kong Listing Rules.
