Simcere Pharma Reports Stable Share Base in May 2026; Public Float Remains Above 15.45% Threshold

Simcere Pharmaceutical Group Limited (Simcere Pharma) filed its monthly return for the period ended 31 May 2026, confirming no changes to its issued share capital or treasury-share position.

• Share capital Total ordinary shares in issue stood unchanged at 2.60 billion. No new shares were issued, cancelled, or held in treasury during the month.

• Public float compliance Management confirmed that the free float satisfied the Hong Kong Stock Exchange’s minimum requirement of 15.45 % of issued share capital as at month-end.

• Incentive scheme overhang Under the company’s amended Restricted Share Unit Scheme, up to 235.20 million ordinary shares remain available for future grant or vesting, representing roughly 9.05 % of current issued shares.

• Repurchase status A previously disclosed repurchase of 27.50 million shares dated 13 June 2025 is recorded as “repurchased for cancellation but not yet cancelled.” No additional repurchases occurred in May 2026.

The filing was signed by Executive Director and Joint Company Secretary Wan Yushan on 3 June 2026.
