China Zheshang Bank Co., Ltd. (CZBANK) announced that the National Financial Regulatory Administration (NFRA) has approved the qualifications of Mr. Yang Zhaohui and Mr. Zheng Xingang to serve as non-executive directors. The approvals were granted under documents Jin Fu [2026] No. 486 and Jin Fu [2026] No. 484, respectively.
The terms of Mr. Yang and Mr. Zheng begin on 27 August 2026 and will run through the end of the bank’s seventh board session. Both individuals were elected at CZBANK’s first extraordinary general meeting in 2025 and had their appointments confirmed by shareholder vote on 25 September 2025.
According to the filing, neither Mr. Yang nor Mr. Zheng currently holds other positions within CZBANK or its subsidiaries, nor have they served as directors of other listed companies in the past three years. They have no disclosed relationships with existing directors, senior management, substantial shareholders, or controlling shareholders of CZBANK, and hold no shares in the bank under Hong Kong’s Securities and Futures Ordinance. Furthermore, the bank reports no penalties or disciplinary actions involving the two appointees.
CZBANK’s board now comprises three executive directors, six non-executive directors—including the newly approved Mr. Yang and Mr. Zheng—and five independent non-executive directors. The bank stated that no additional information is required for disclosure under Listing Rule 13.51(2).
