Alphamab Oncology Sets 12 June 2026 AGM; Seeks 10% Buy-back and 20% Issuance Mandates, Plans Director Re-elections and Auditor Renewal

Alphamab Oncology will convene its 2026 annual general meeting (AGM) on 12 June 2026 at the company’s Suzhou headquarters. Key proposals up for shareholder approval include fresh share buy-back and issuance mandates, board re-elections, and the re-appointment of Deloitte Touche Tohmatsu as external auditor.

Share capital actions • Share repurchase mandate: Directors request authority to buy back up to 10% of issued share capital (excluding treasury shares) as at the AGM date—equivalent to 96.86 million shares based on the latest issued total of 968.57 million shares. • Issuance mandate: Management seeks approval to allot, issue or transfer up to 20% of the issued share capital—approximately 193.71 million shares—with an additional extension equal to the number of shares repurchased under the buy-back mandate. • Existing treasury stock: Over the six months to 15 May 2026, the company repurchased 1.65 million shares on the Hong Kong Stock Exchange at HK$9.24–10.48, all held as treasury shares.

Board composition Four directors are subject to retirement by rotation and stand for re-election: 1) Executive Director and Chief Operating Officer Liu Yang. 2) Independent Non-executive Director Wu Dong. 3) Independent Non-executive Director Wong Yan Ki Angel. 4) Independent Non-executive Director Gao Xiang. The Nomination Committee and the Board support all four re-appointments, citing their experience and contributions.

Auditor re-appointment The Audit Committee recommends re-appointing Deloitte Touche Tohmatsu. The estimated audit fee for FY2026 is RMB1.80 – 1.90 million, subject to final scope and timing.
