BCQ Schedules 2025 AGM on 23 June 2026; Plans 30% Dividend Payout, New Non-executive Director, Auditor Reappointment

BCQ (Bank of Chongqing Co., Ltd.) will convene its 2025 Annual General Meeting at 09:30 on 23 June 2026 in Chongqing. Shareholders registered by 17 June 2026 are eligible to vote; proxy forms must reach Computershare Hong Kong at least 24 hours before the meeting.

Key proposals up for ordinary resolution include:

1. Dividend and Profit Distribution • Management recommends a cash dividend of RMB 2.918 per 10 shares (tax inclusive). • Together with the RMB 1.684 per 10 shares already distributed for 3Q25, total cash dividends for 2025 amount to RMB 1.60 billion, equivalent to 30% of 2025 net profit attributable to ordinary shareholders. • Should the share capital change before the record date (15 July 2026) due to convertible bond conversions, the aggregate dividend outlay of RMB 1.01 billion will remain unchanged and the per-share amount will be adjusted accordingly.

2. Board Composition • Shareholders will vote on the appointment of Mr Shi Xiaosheng as a non-executive director, nominated by 4.99% shareholder Chongqing Expressway Group. Upon shareholder approval, his qualification will be submitted to the Chongqing Bureau of the National Financial Regulatory Administration.

3. Governance & Remuneration Framework • Introduction of Remuneration Management Measures for Directors and for Senior Management, setting differentiated structures (basic vs. performance-linked pay) and claw-back provisions tied to performance, compliance, and risk outcomes. • Independent non-executive directors’ compensation will comprise basic and variable allowances; shareholder-appointed non-executive directors will receive basic and performance-based remuneration, with at least 50% performance-linked.

4. Auditor Reappointment • The Board proposes to renew Ernst & Young Hua Ming LLP (PRC GAAP) and Ernst & Young (IFRS) as external auditors for 2026 at a combined fee of RMB 5.30 million, including RMB 0.50 million for internal-control audit.

5. 2026 Budget & Related-party Transactions • Management targets deposit growth of 12.7%, loan growth of 12.6%, stable profit expansion, and regulatory compliance on capital and asset-quality ratios. • Annual caps for 2026 related-party credit, interbank, and guarantee transactions have been set, to remain in force until new caps are approved at the next AGM. Designated related shareholders will abstain from voting on this item per Hong Kong Listing Rules.

Additional reports to be presented include directors’ performance evaluation, independent directors’ work report, remuneration execution for 2025, related-party transaction management, and major shareholder evaluation.

Dividend-entitled H-shareholders must ensure registration by 15 July 2026; the H-share register will close 10–15 July 2026. Dividends will be paid in RMB or, at shareholders’ election, in HKD using the PBoC central parity rate on the AGM date.
