Central China New Life Limited (CC New Life) has issued a notice convening its annual general meeting (AGM) for 10:00 a.m. on 1 June 2026 at Units 1602–1605, 16/F, Tower 2, The Gateway, Harbour City, Tsim Sha Tsui, Hong Kong.
Key resolutions to be put to shareholder vote are as follows:
1. Financial Statements • Approval of the audited consolidated results and accompanying reports for the year ended 31 December 2025.
2. Board Composition and Remuneration • Re-election of Executive Director Mr Yan Xuewen. • Re-election of Independent Non-executive Directors Mr Leong Chong and Ms Luo Laura Ying. • Authorisation for the board to determine directors’ remuneration.
3. Auditor • Re-appointment of Prism Hong Kong Limited as external auditor for the year ending 31 December 2026, with the board authorised to fix its fees.
4. General Mandates • Share Issuance: Directors seek authority to allot, issue or deal with shares up to 20% of the company’s issued share capital as at the date of the AGM. • Share Buy-back: A separate mandate would allow the purchase of up to 10% of issued shares over the same period. • Extension Mandate: The share-issuance limit may be increased by the volume of shares repurchased under the buy-back mandate.
Administrative Details • Shareholders must be on the register by 4:30 p.m. on 26 May 2026; the register will be closed from 27 May to 1 June 2026. • Proxy forms must be lodged no later than 10:00 a.m. on 30 May 2026. • Voting will be conducted by poll in accordance with Article 66 of the Articles of Association.
The notice also outlines contingency arrangements for severe weather and confirms that, as of 20 April 2026, the board comprises three executive and three independent non-executive directors.
