ICO Group Limited reported that every resolution tabled at its Annual General Meeting (AGM) on 28 August 2026 was approved by shareholders through a poll, each securing 100% of votes cast.
The meeting covered seven ordinary resolutions, including: • Adoption of the audited consolidated financial statements and directors’ and auditor’s reports for the year ended 31 March 2026. • Re-appointment of BDO Limited as external auditor, with the Board authorised to set remuneration. • Re-election of Mr. Lee Siu Hang Foster as Non-executive Director and Ms. Liew Meiqi as Independent Non-executive Director. • Authorisation for the Board to determine directors’ remuneration. • Granting of a general mandate permitting the Board to issue new shares up to 20% of the Company’s issued share capital (excluding treasury shares). • Approval of a share repurchase mandate of up to 10% of issued share capital (excluding treasury shares). • Extension of the share-issue mandate by an amount equal to shares repurchased under the above authority.
Voting statistics show 480.38 million shares cast for each resolution, representing 100% of votes, with no opposition. The Company had 877.59 million shares in issue and entitled to vote as at the AGM date. No shareholder was required to abstain, and no parties indicated intentions to vote against any proposal in advance.
Union Registrars Limited acted as scrutineer, and all directors participated in the meeting either in person or via electronic means.
With the mandates in place and directors and auditor re-confirmed, ICO Group’s Board retains full authority to pursue capital management initiatives and governance matters in the forthcoming financial year.
