Wanjia Group Holdings Limited has issued a supplemental announcement to its 31 July 2026 AGM circular, confirming that HLB Hodgson Impey Cheng Limited will retire and stand for re-appointment as the Group’s auditor at the forthcoming annual general meeting (AGM).
The Board, acting on the Audit Committee’s recommendation, will seek shareholder approval to re-appoint HLB from the close of the AGM until the next annual general meeting. The proposed remuneration for auditing the consolidated financial statements for the financial year ending 31 March 2027 is estimated at HK$0.65 million, unchanged from the previous year and exclusive of out-of-pocket expenses.
Management determined the HK$0.65 million estimate through arm’s-length negotiations, referencing historical fees, prevailing market rates, anticipated scope of work, resource requirements, audit schedule, and expected stability in the Group’s operations and accounting policies. The Board views the fee as fair, adding that HLB’s familiarity with Wanjia’s business should support audit efficiency.
Any material deviation from the estimated fee—stemming from changes in operational scale, regulatory environment or other underlying assumptions—will be disclosed separately. All information in the original AGM circular remains unchanged. As at 4 August 2026, Wanjia’s Board comprises one executive director (Mr. Wang Jia Jun), one non-executive director (Dr. Xiao Zhixin) and four independent non-executive directors (Dr. Liu Yongping, Ms. Chan Wing Shan Winsome, Ms. Xu Wei and Mr. Williamson Lam).
