Progressive Path Group Holdings Limited (“Progressive Path”, HKEX: 01581) has issued its formal notice for the Annual General Meeting (AGM) scheduled on Thursday, 20 August 2026 at 2:30 p.m. The meeting will take place at Units 1203B, 1204–05, 12/F, World-Wide House, 19 Des Voeux Road Central, Hong Kong.
Key items to be tabled:
1. FY2026 Results Approval • Shareholders will vote to receive and approve the audited financial statements, together with the directors’ and auditor’s reports, for the financial year ended 31 March 2026.
2. Board Composition and Remuneration • Re-election of three directors: Executive Director Mr Wu Wing Hang, and Independent Non-executive Directors Ms Tong Sze Sze Cecilia and Mr Du Hanzhi. • Authorisation for the Board to determine directors’ remuneration.
3. Auditor Re-appointment • Proposal to re-appoint SHINEWING (HK) CPA Limited as external auditor and to authorise the Board to fix its remuneration.
4. General Mandate to Issue Shares • Directors seek authority to allot and issue additional shares and securities convertible into shares up to 20% of the Company’s issued share capital as at the date of the AGM. • The mandate will remain valid until the earlier of (i) the next AGM, (ii) the expiry of the statutory period for holding the next AGM, or (iii) revocation/variation by shareholders.
5. Share Buy-back Mandate • Authorisation for the Company to repurchase its own shares on the HKEX or other recognised exchanges, capped at 10% of the issued share capital as at the AGM date, effective for the same “Relevant Period” as above.
6. Extension of Issuance Mandate • Conditional on the passing of the above two mandates, the share issuance limit may be extended by the number of shares repurchased under the buy-back mandate, effectively raising the potential new issue headroom by up to an additional 10%.
Administrative Details • Record date: Thursday, 20 August 2026; share transfer registrations will be suspended from 17–20 August 2026 (both days inclusive). Transfers must be lodged by 4:30 p.m. on Friday, 14 August 2026. • Proxy forms must reach Tricor Investor Services Limited by 2:30 p.m. on Tuesday, 18 August 2026. • All resolutions will be decided by poll. • Contingency plans are in place for extreme weather; any adjournments will be announced via the HKEXnews website.
