Asia-Pac Financial Investment Company Limited has issued a notice convening its Annual General Meeting (AGM) for 3:30 p.m. on Thursday, 24 September 2026, at Portion 2, 12/F, The Center, 99 Queen’s Road Central, Hong Kong.
Key resolutions to be tabled:
1. FY 2026 Results Adoption • Shareholders will consider and adopt the audited consolidated financial statements for the year ended 31 March 2026, together with the directors’ and independent auditor’s reports.
2. Board Composition and Remuneration • Re-election of Executive Director Mr Wu Di. • Re-election of Independent Non-executive Director (INED) Mr So Kwok Yun. • Authorisation for the board to determine directors’ remuneration for the financial year ending 31 March 2027.
3. Auditor Re-appointment • McMillan Woods (Hong Kong) CPA Limited is recommended for re-appointment as Independent Auditor until the next AGM, with the board authorised to set its remuneration.
4. Share Capital Mandates • Issuance Mandate: Directors may allot, issue or deal with new shares— including the sale or transfer of treasury shares—and grant related securities up to 20% of the company’s issued share capital (excluding treasury shares) as at the AGM date. • Repurchase Mandate: Authority to repurchase up to 10% of issued shares (excluding treasury shares) on the Stock Exchange or other recognised markets during the mandate period. • Extension Mandate: Conditional on the above approvals, the issuance limit may be increased by the number of shares repurchased, effectively expanding potential new issuance capacity by a further 10%, bringing the aggregate possible issuance headroom to 30% of current issued shares.
Procedural Details • Shareholders recorded on the register by the close of business on 24 September 2026 are entitled to attend and vote. • The register of members will be closed from 21 to 24 September 2026, inclusive; share transfer documents must be lodged by 4:30 p.m. on 18 September 2026. • All resolutions will be decided by poll in accordance with GEM Listing Rule 17.47(4). • Contingency arrangements are outlined for potential severe weather on the meeting day.
