Asia-Pac Financial Investment Schedules 24 Sep 2026 AGM to Approve FY26 Results, Board Changes and 20% Share Issuance Mandate

Asia-Pac Financial Investment Company Limited will convene its annual general meeting (AGM) at 3:30 p.m. on 24 September 2026 at Portion 2, 12th Floor, The Center, 99 Queen’s Road Central, Hong Kong.

Key items on the agenda include:

1. Financial Statements • Shareholders will consider and adopt the audited consolidated financial statements for the fiscal year ended 31 March 2026, together with the reports of the directors and of McMillan Woods (Hong Kong) CPA Limited.

2. Board Composition and Remuneration • Executive Director Wu Di is nominated for re-election. • Independent Non-Executive Director So Kwok Yun is also up for re-election. • The board seeks authorization to fix directors’ remuneration for the year ending 31 March 2027.

3. Auditor Re-appointment • McMillan Woods (Hong Kong) CPA Limited is proposed for re-appointment as independent auditor until the next AGM, with fees to be set by the board.

4. General Mandates • Issuance Mandate: Authorization for the board to allot, issue or otherwise deal in shares— including any sale or transfer of treasury shares—up to 20% of the company’s issued share capital (excluding treasury shares) as at the date of the resolution. • Repurchase Mandate: Authorization to repurchase shares up to 10% of the issued share capital (excluding treasury shares). • Extension Mandate: Authority to extend the issuance mandate by adding any shares repurchased under the repurchase mandate.

Administrative Details • The share register will be closed from 21 September 2026 to 24 September 2026, both dates inclusive. Shareholders intending to attend and vote must lodge transfers with Tricor Investor Services Limited by 4:30 p.m. on 18 September 2026. • Proxy forms must be submitted to Tricor Investor Services Limited no later than 3:30 p.m. on 22 September 2026.

Shareholders may appoint the chairman or another proxy to vote on their behalf and can indicate support or opposition to each resolution on the proxy form.
