Baidu, Inc. (BIDU-SW) has announced that 17 July 2026 will serve as the record date for determining shareholder eligibility to attend and vote at its forthcoming Extraordinary General Meeting (EGM).
Under Baidu’s weighted-voting-rights structure, each Class A ordinary share carries one vote, while each Class B ordinary share carries ten votes. Shareholders registered as holders of ordinary shares at the close of business on 17 July 2026 (Beijing/Hong Kong time) will be entitled to participate in the EGM.
To qualify, transfer documentation and relevant share certificates must reach Computershare Hong Kong Investor Services Limited—Shops 1712–1716, 17th Floor, Hopewell Centre, 183 Queen’s Road East, Hong Kong—no later than 4:30 p.m. on the record date.
Holders of American Depositary Shares (ADSs), each representing eight Class A ordinary shares and trading on Nasdaq under the symbol BIDU, cannot directly attend or vote at the EGM. ADS holders of record as of 17 July 2026 (New York time) may instruct The Bank of New York Mellon, the ADS depositary, on how to vote the underlying ordinary shares.
Baidu will issue formal EGM notices, including meeting date and venue, together with proxy materials to eligible ordinary-share and ADS holders in due course.
The Board is chaired by Chief Executive Officer Robin Yanhong Li, with independent directors Yuanqing Yang, Jixun Foo, Sandy Ran Xu and Xiaodan Liu.
