• Capital structure unchanged for now The company’s issued share capital stood at 2.60 billion ordinary shares on both 14 and 15 May 2026. All repurchased shares reported below have not yet been cancelled and therefore remain part of the issued share count.
• Latest on-market repurchase On 15 May 2026, Simcere Pharma repurchased 2.58 million shares on the Hong Kong Stock Exchange at an average price of HKD 11.57, within a price range of HKD 11.35–11.57. The transaction involved a cash outlay of HKD 29.57 million.
• Cumulative 2026 activity Including the latest transaction, the company has bought back 20.57 million shares since 12 January 2026, representing approximately 0.79 % of the current issued share capital. The total cash consideration for these ten tranches is estimated at HKD 237.63 million, based on the volume-weighted average prices disclosed for each repurchase date.
• Headroom under mandate The buy-backs were conducted under the mandate approved on 13 June 2025, which authorises up to 247.47 million shares for repurchase. The 20.57 million shares already executed utilise about 8.31 % of that limit.
A moratorium on issuing new shares or disposing of treasury shares is in place until 14 June 2026, in accordance with Hong Kong listing rules.
