C SMARTERENERGY Schedules 30 June 2026 AGM; Targets 20% Issuance Mandate and 10% Share Buy-Back Authority

China Smarter Energy Group Holdings Limited (“C SMARTERENERGY”) has issued a proxy circular convening its 2026 annual general meeting (AGM) for 11:00 a.m. on 30 June 2026 at 14/F, Fairmont House, 8 Cotton Tree Drive, Central, Hong Kong.

Key resolutions to be tabled include:

• Financial Reporting: Shareholders will consider and receive the audited consolidated financial statements and accompanying directors’ and auditors’ reports for the year ended 31 December 2025.

• Auditor Re-appointment: The board proposes re-appointing ZHONGHUI ANDA CPA Limited as external auditor, with directors authorised to set remuneration.

• Board Composition: Re-election of Executive Director Mr Chen Xiaxuan and Independent Non-Executive Director Mr Lo Ka Ki will be voted on. Directors’ overall remuneration will also be subject to shareholder approval.

• Capital Management Mandates: – Share Buy-Back: Authority for the board to repurchase shares representing up to 10% of the company’s issued share capital as at the date of the AGM. – Share Issuance: General mandate to allot, issue and deal with additional shares up to 20% of the issued share capital. – Mandate Extension: The proposed issuance mandate may be increased by the number of shares repurchased under the buy-back mandate.

Proxy Arrangements: Registered shareholders may appoint the chairman or another proxy to vote on their behalf. Completed proxy forms must reach Tricor Investor Services Limited, 17/F, Far East Finance Centre, 16 Harcourt Road, Hong Kong, no later than 48 hours before the meeting.

All resolutions will be decided by poll at the AGM.
