Simcere Pharmaceutical Group Limited disclosed that on 4 May 2026 it repurchased 847,000 ordinary shares on the Hong Kong Stock Exchange at prices ranging from HKD 11.65 to HKD 11.91 per share, for a total consideration of HKD 10.02 million. All of these shares are earmarked for cancellation.
Including five earlier tranches executed between 12 January and 26 March 2026, Simcere Pharma has now bought back 13.67 million shares under the mandate approved on 13 June 2025. The cumulative volume is equivalent to 0.55% of the issued share base at the date of the mandate. Repurchase prices for the earlier tranches ranged from a volume-weighted average of HKD 11.16 to HKD 11.79 per share.
Despite the ongoing buybacks, the company’s issued share capital stood unchanged at 2.60 billion shares as of both 31 March and 4 May 2026 because none of the repurchased shares had been cancelled by the reporting date. Simcere Pharma holds no treasury shares.
The current authorisation allows for the repurchase of up to 247.47 million shares; after accounting for the 13.67 million already acquired, approximately 233.80 million shares remain available for future repurchase.
Under Hong Kong listing rules, the company is restricted from issuing new shares until 3 June 2026, 30 days after the latest buyback. Management affirmed that all repurchase activities complied with the Hong Kong Stock Exchange regulations and relevant legal requirements.
