Risecomm Group Holdings Limited has announced a further postponement in sending out the shareholder circular related to its Loan Capitalisation Agreements and Placing Agreement.
The circular—originally scheduled for dispatch on or before 25 August 2026—will now be issued on or before 1 September 2026. Management cited the need for additional time to prepare and finalise certain information required under the Hong Kong Listing Rules.
Key materials to be included in the forthcoming circular comprise: • Detailed terms of the Loan Capitalisation Agreements, the Placing Agreement and related transactions. • A recommendation letter from the Independent Board Committee addressed to independent shareholders regarding the connected loan capitalisation arrangements. • An advisory letter from the Independent Financial Adviser to both the Independent Board Committee and independent shareholders on the same connected transactions. • A notice convening an Extraordinary General Meeting.
This marks the sixth public update on the matter, following announcements dated 27 May, 17 June, 8 July, 22 July and 4 August 2026.
The announcement was authorised by Executive Director Ye Bailing and released on 25 August 2026. Risecomm’s board currently comprises two executive directors (Tsang Wah Tak, Brian; Ye Bailing), two non-executive directors (Guo Lei; Yu Lu) and three independent non-executive directors (Victor Yang; Lo Wan Man; Zou Heqiang).
