CROWNICORP (00727) has announced that on March 25, 2026 (after trading hours), the company, acting as the seller, entered into a share transfer agreement with the buyer, Easy Gain Limited. Under the terms of the agreement, the buyer has conditionally agreed to acquire, and the company has conditionally agreed to sell, the entire equity interest in the target company, Grandlife Investment Co. Limited, for a consideration of RMB 180 million. Grandlife Investment Co. Limited is a limited investment holding company incorporated in Samoa and is a direct wholly-owned subsidiary of CROWNICORP. The target company's wholly-owned subsidiary, Aohua Investment, is a limited investment holding company registered in Hong Kong. Weihai Runhe, which is wholly owned by Aohua Investment, is a company established in China and is engaged in hotel and property investment there. The primary asset of Weihai Runhe is the Weihai property, located at No. 1 Jin Beach, Jin Beach Garden, east of Rentai Garden and south of North Huanhai Road in the Gaogu District of Weihai City, Shandong Province, China. Considering the Group's limited capital resources, the Board of Directors believes that concentrating development efforts and financial resources on the Qianhai project, which is situated in a core economic zone and benefits from stronger policy support and market liquidity, represents a more effective use of capital compared to continuing with the long-cycle development of the Weihai property in a fourth-tier city. Furthermore, the Board has proposed changing the company's English name from "Crown International Corporation Limited" to "Sinopros Corporation Limited" and its Chinese name from "皇冠环球集团有限公司" to "中国丰汇集团有限公司".
