At a half-year results briefing held on August 31, CZBANK (601916) addressed recent regulatory guidance issued by the financial regulator, the central bank, the securities regulator, and the finance ministry on improving corporate governance in financial institutions. Xu Yongbin, an independent director of CZBANK, outlined the bank's proactive response to these requirements.
Xu noted that CZBANK has already completed three key initiatives in this regard. First, the bank has strengthened its corporate governance structure by promptly updating its articles of association, along with the rules of procedure for shareholder meetings, board meetings, and the board's audit committee. An implementation plan has also been finalized for the audit committee to assume the statutory duties previously handled by the supervisory board.
Second, the bank is reinforcing the independent judgment of its independent directors and enhancing the pre-review role of the board's various specialized committees. Third, CZBANK is improving its performance appraisal and incentive-constraint mechanisms to standardize and regulate the conduct of senior management.
