China Parenting Network to Raise HK$1.10 Million via 6.90% Share Placement at 19.8% Discount

China Parenting Network Holdings Limited (PARENTING NET) has signed subscription agreements with three professional investors—Ms. Chan Catalina Libanan, Mr. Woo Keng Hong and Ms. Maria Elmalia Nangoi—after market close on 17 June 2026 to issue 3.30 million new shares under its existing general mandate.

Key terms and metrics • Issue size and pricing: 3,300,781 new shares at HK$0.325 each, raising gross and net proceeds of approximately HK$1.10 million. • Pricing discount: 19.75% below the same-day closing price of HK$0.405 and 19.55% below the five-day average closing price of HK$0.404. • Dilution: New shares equal 6.90% of current issued share capital and 6.45% of the enlarged share base. Post-issuance share count will rise to 51.14 million from 47.84 million.

Subscribers and post-deal ownership • Allocation—Ms. Chan: 382,699 shares; Mr. Woo: 717,561 shares; Ms. Nangoi: 2,200,521 shares. • Upon completion, Ms. Chan’s stake will increase to 4.88%, Mr. Woo’s to 4.84%, while Ms. Nangoi will hold 4.30%. The largest existing shareholder, Maria Rachel Mai Decolongon Tatoy, remains at 10.58%.

Mandate utilisation and regulatory conditions • The placement uses the General Mandate approved on 30 June 2025, which allows issuance of up to 8.64 million shares; 4.63 million have already been issued, leaving sufficient headroom for the current deal. • Completion is contingent on Stock Exchange approval for listing and standard warranty conditions. Long stop date is 8 July 2026.

Use of proceeds The HK$1.10 million raised is earmarked for repayment of outstanding professional fees and related expenses, aiming to ease liabilities and strengthen the capital base.

Timing Settlement is expected within five working days after all conditions are met. The new shares will rank pari passu with existing shares.
