C&D International Investment Group held its Annual General Meeting (AGM) on 27 May 2026, where shareholders passed all 12 ordinary resolutions by poll, confirming broad support for the board’s proposals.

Key Outcomes 1. Financial Statements: Shareholders approved the audited consolidated results for the year ended 31 December 2025 with 1.40 billion votes in favour versus 0.18 million against, reflecting a 99.99% approval rate.

2. Final Dividend: A final dividend of HK$0.9 per share—payable in cash or via a scrip dividend scheme—was endorsed unanimously with 1.40 billion affirmative votes and no opposition.

3. Board Composition: • Executive Director re-election – Mr. Xu Yixuan secured 1.40 billion votes for (99.55%). • Non-Executive Directors – Ms. Ye Yanliu (98.77% support) and Mr. Cheng Dongfang (98.26% support) were re-elected. • Independent Non-Executive Directors – Mr. Wong Chi Wai and Mr. Wong Tat Yan, Paul each received 93.25% approval.

4. Directors’ Remuneration: Authority for the board to set directors’ remuneration passed with 1.40 billion votes in favour (99.99%).

5. Auditor: Grant Thornton Hong Kong Limited was re-appointed for the ensuing year, backed by 1.40 billion votes (99.95%).

6. Share Issuance & Repurchase Mandates: • Issuance Mandate – Directors may allot and issue up to 20% of issued shares; approved with 1.28 billion votes (91.47%). • Repurchase Mandate – Authority to repurchase up to 10% of issued shares gained 1.40 billion votes (99.99%). • Extension Mandate – Shares repurchased can be added to the issuance mandate; endorsed by 1.28 billion votes (91.55%).

Share Capital & Voting Details • Shares in issue at the meeting: 2.24 billion. • All shares were entitled to vote; no abstentions or special restrictions were recorded. • Tricor Investor Services Limited acted as independent scrutineer.

All company directors attended the AGM either in person or via electronic means, reinforcing governance transparency.
