LAP KEI ENGRG to Table HK$0.02 Final Dividend, Share Mandates and Charter Overhaul at 14 May AGM

Lap Kei Engineering (Holdings) Limited (LAP KEI ENGRG) will hold its annual general meeting on 14 May 2026 in Kowloon Bay. Key resolutions and timetable details are as follows:

Dividend • Board recommends a final dividend of HK$0.02 per share for FY25. • Record date: 28 May 2026; share transfer deadline: 4:30 p.m. on 26 May 2026. • Expected payment: 18 June 2026.

Capital Mandates • Issue mandate: Directors may allot up to 289.05 million new shares, equal to 20 % of the 1.45 billion shares in issue (excluding treasury shares) as at 8 April 2026. • Repurchase mandate: Authority to buy back up to 144.52 million shares (10 %). • Extension mandate: The issue mandate can be increased by the number of shares actually repurchased.

Governance Items • Re-election of Chairman and Executive Director Mr Wong Kang Kwong and Independent Non-executive Director Mr Tam Chun Chung (who has served more than 10 years). • Re-appointment of BDO Limited as auditor. • Adoption of a second amended and restated memorandum and articles of association to: – facilitate electronic and hybrid shareholder meetings, – streamline electronic communications, and – align with Hong Kong Listing Rules’ Core Shareholder Protection Standards (effective 1 July 2025).

Book Closure • Register closed 8 – 14 May 2026 (both dates inclusive) for AGM attendance and voting.

All resolutions require shareholder approval at the AGM.
