Pak Tak International Schedules 26 June 2026 AGM; Seeks 10% Buy-back and 20% Issuance Mandates

Pak Tak International Limited will convene its 2026 annual general meeting (AGM) on 26 June 2026 at 11:00 a.m. in Room 3, 14/F, Fairmont House, 8 Cotton Tree Drive, Hong Kong. Shareholders recorded by 18 June 2026 will be eligible to attend and vote; the register of members will be closed from 22 June to 26 June 2026 (both days inclusive).

Key agenda items:

1. Financial statements • Shareholders will consider and adopt the audited consolidated financial statements for the year ended 31 December 2025 together with the reports of the directors and independent auditor.

2. Board composition • Re-election of Executive Directors Mr. Liu Weixiong and Mr. Lyu Zhengjun, and Non-executive Director Mr. Hang Chu Kwong. • The board will be authorised to fix directors’ remuneration.

3. Auditor re-appointment • Baker Tilly Hong Kong Limited is nominated for re-appointment as external auditor, with remuneration to be set by the board.

4. Capital management mandates • Share repurchase mandate: directors seek authority to buy back up to 10% of the company’s issued shares (excluding any treasury shares) on the Hong Kong Stock Exchange or other recognised exchanges during the “Relevant Period”. • General issuance mandate: directors request authority to allot, issue, grant or deal with additional shares up to 20% of issued share capital, with flexibility to issue related convertible or equity-linked instruments. • Extension mandate: contingent on the above approvals, the issuance limit may be increased by the number of shares actually repurchased, effectively adding up to a further 10% of issued shares.

Administrative notes:

• Shareholders may appoint proxies; forms must reach Tricor Investor Services Limited by 11:00 a.m. on 24 June 2026. • The company states it currently has no immediate plans to exercise either the issuance or repurchase mandates. • Contingency arrangements are in place for severe weather; any postponement will be announced on the company’s and the Hong Kong Stock Exchange’s websites.

Board composition as at the notice date (29 May 2026): Executive Directors Mr. Wu Zongchuan (Chairman & CEO), Mr. Liu Weixiong, and Mr. Lyu Zhengjun; Non-executive Director Mr. Hang Chu Kwong; Independent Non-executive Directors Ms. Chan Ching Yi, Ms. Li Yun and Mr. Li Wubo.

The AGM outcomes will determine the company’s governance structure and authorise future capital management flexibility for the forthcoming year.
