Alphamab Oncology Outlines 12 June 2026 AGM Agenda, Seeks Fresh Share Issuance and Repurchase Mandates

Alphamab Oncology (康寧傑瑞生物製藥) has issued its proxy form and notice for the Annual General Meeting (AGM) scheduled for 10:00 a.m. on Friday, 12 June 2026, at No. 175 Fangzhou Road, Suzhou Industrial Park, Jiangsu, China.

Key items to be tabled for shareholder approval include:

1. Financial Statements • Receipt of the audited consolidated financial statements and the reports of the directors and auditor for the financial year ended 31 December 2025.

2. Capital Mandates • Authorisation for the board to repurchase up to 10% of the company’s issued shares (excluding any treasury shares). • Authorisation for the board to allot, issue, or deal with additional shares up to 20% of the existing issued share capital (excluding treasury shares). • Extension of the share-issuance mandate by adding the shares repurchased under the 10% buy-back authority.

3. Board Composition • Re-election of four directors: executive director Ms Liu Yang and independent non-executive directors Mr Wu Dong, Ms Wong Yan Ki Angel, and Dr Gao Xiang.

4. Remuneration and Auditor • Authorisation for the board to determine directors’ remuneration. • Re-appointment of Deloitte Touche Tohmatsu as the company’s external auditor and authorisation for the board to fix its remuneration.

Shareholders wishing to vote by proxy must submit completed forms to Computershare Hong Kong Investor Services Limited by 10:00 a.m. on Wednesday, 10 June 2026, at the latest. Attendance at the AGM requires appropriate identity documentation.
