Progressive Path Group (PROGRESSIVE P) Calls 20 Aug 2026 AGM; Targets 20% Issuance Mandate, 10% Share Buy-back and Auditor Re-appointment

Progressive Path Group Holdings Limited will convene its Annual General Meeting on 20 August 2026 at 14:30 in Central, Hong Kong. Key resolutions include:

1. Capital mandates • Issuance mandate: Directors seek authority to allot and issue up to 83.00 million new shares, representing 20% of the current 415 million shares outstanding. • Buy-back mandate: Authority to repurchase up to 41.50 million shares, or 10% of issued capital. • Extension: Shares bought back may be added to the issuance mandate, effectively expanding potential new issuance capacity beyond 20%.

2. Board composition • Re-election of Executive Director and Chairman Mr Wu Wing Hang. • Re-election of Independent Non-executive Directors Ms Tong Sze Sze Cecilia and Mr Du Hanzhi. • Mr Wu, through wholly owned Profit Gold Global Limited, controls 244.40 million shares, equal to 58.89% of issued capital. Full exercise of the buy-back mandate would lift this stake to 65.43%, still maintaining the minimum 25% public float required by the Hong Kong Stock Exchange.

3. Auditor • SHINEWING (HK) CPA Limited is nominated for re-appointment as auditor for the year ending 31 March 2027, with an estimated audit fee of HK$0.85–0.90 million.

The share register will be closed from 17 to 20 August 2026 (both days inclusive). Shareholders must lodge transfers by 16:30 on 14 August 2026 to qualify for AGM attendance and voting. Proxy forms must reach Tricor Investor Services by 14:30 on 18 August 2026.
