Lotus Horizon seeks approval for 20% share issue mandate and 10% buy-back, schedules AGM for 21 Aug 2026

Lotus Horizon Holdings Limited has dispatched a circular convening its annual general meeting (AGM) for 21 August 2026 at 22/F, Euro Trade Centre, Central, Hong Kong. Key resolutions to be tabled include fresh share issue and repurchase mandates, director re-elections and the re-appointment of its external auditor.

General mandates • Issue Mandate: Directors request authority to allot and issue new shares—plus any sale or transfer of treasury stock—up to 20% of issued share capital (excluding treasury shares). With 2.00 billion shares outstanding on 9 July 2026, the cap equates to 400.00 million shares. • Repurchase Mandate: A separate authorisation would allow on-market buy-backs of up to 10% of issued share capital, or 200.00 million shares. The company has made no buy-backs in the past six months. • Takeovers Code: Major shareholder Platinum Lotus Holdings, currently holding 75.0% of issued shares, would rise to 83.33% if the full repurchase mandate were executed. The board states it will not repurchase shares to an extent that would breach the 25% public-float requirement.

Board changes • Executive Director: Mr Yeung Kin Wa—appointed CFO and company secretary in December 2020 and made executive director on 1 June 2026—stands for re-election. • Independent Non-executive Directors: Ms Leung Yin Fai and Mr Ma Tsz Chun will retire by rotation and offer themselves for re-election.

Auditor re-appointment • Deloitte Touche Tohmatsu is nominated for re-appointment for FY 2026/27 with an estimated audit fee of HK$0.82-0.88 million (exclusive of out-of-pocket expenses).

Meeting logistics and voting • Shareholders of record by 17 August 2026 may vote in person or by proxy; all resolutions will be decided by poll. The proxy deadline is 19 August 2026 at 2:30 p.m.

The board recommends shareholders vote in favour of all proposed resolutions at the forthcoming AGM.
